‍In no event shall we, our affiliates, or our licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Software; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Software; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Software by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Software; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

‍Indemnification
‍You agree to indemnify, defend, and hold harmless us, our affiliates, and our licensors, and our respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Software; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Software caused damage to a third party.

‍Governing Law
‍These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions.

‍Severability
‍If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Subscriptions, Fees, and Automatic Renewal
‍Subscription Plans. RelayCam is offered on a paid subscription basis. The features, limits, billing frequency (e.g., monthly or annual), and price of each plan are as presented to you at the time of purchase or as otherwise communicated to you. By selecting a plan and providing a payment method, you agree to pay the fees for that plan.

Automatic Renewal. YOUR SUBSCRIPTION AUTOMATICALLY RENEWS. At the end of each subscription term (the "Current Term"), your subscription will automatically renew for a successive period equal in length to the Current Term (each, a "Renewal Term"), and your payment method on file will be charged the then-current fee for the applicable plan, unless you cancel before the end of the Current Term as described in the Cancellation section below. By subscribing, you authorize this recurring charge until you cancel.

Billing Authorization. You authorize us and our payment processor (Stripe) to charge your designated payment method for all fees when due, including initial fees, recurring renewal fees, and applicable taxes. You authorize us to store your payment method and charge it on a recurring basis. You are responsible for keeping your payment method current.
Price Changes. We may change subscription fees from time to time. We will provide notice of any price change at least 30 days in advance (by email and/or in-app), and the new price will take effect on your next Renewal Term. If you do not agree to a price change, you may cancel before the change takes effect; continued use after the change takes effect constitutes acceptance of the new price.Taxes. All fees are exclusive of applicable taxes, levies, or duties, which are your responsibility unless we are required to collect them on your behalf.

‍Cancellation
‍How to Cancel. You may cancel your subscription at any time directly within the RelayCam web app from your account billing settings. You may also request cancellation by emailing info@relaycam.com. Cancellation is available online and is at least as easy as signing up. When Cancellation Takes Effect. To avoid being charged for the next Renewal Term, you must cancel before the end of your Current Term. We do not provide prorated refunds for the unused portion of a term unless required by law.

No Automatic Cancellation. Discontinuing use of the Software, deleting the app, or allowing your account to sit idle does not cancel your subscription. Your subscription remains active and continues to renew until you affirmatively cancel through one of the methods above.

‍Refunds
‍Except where required by applicable law, all fees are non-refundable, including fees for the current billing period when you cancel and fees for periods during which you did not use the Software. We do not provide refunds or credits for partial subscription periods, unused time, or accounts that remained active but unused.We may, at our sole discretion, offer a refund within 14 days of an initial purchase. Any such accommodation is discretionary and does not create an obligation to provide refunds in other circumstances.

‍Free Trials
‍If your plan includes a free trial, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable fee at the end of the trial period unless you cancel before the trial ends. The length of the trial and the fee that applies afterward will be disclosed to you at sign-up.

‍Failed Payments and Suspension
If a charge to your payment method fails, we may retry the charge and may suspend or limit your access to the Software until payment is received. We may also update your payment method information using account updater services provided by our payment processor or card networks. Continued non-payment may result in termination of your subscription and account.

‍Payment Disputes and Chargebacks
‍If you believe you have been charged in error, you agree to contact us first at info@relaycam.com so we can resolve the issue. Initiating a chargeback or payment dispute for a charge that is valid under these Terms (including a properly disclosed automatic renewal that you did not cancel) is a breach of these Terms. In the event of such a dispute, we may suspend or terminate your account, and we reserve the right to submit evidence of your acceptance of these Terms, your usage of the Software, and the disclosure of these billing terms to the relevant card network or financial institution. You remain responsible for amounts validly owed plus any associated dispute or processing fees, to the extent permitted by law.

‍Disclosure and Consent Acknowledgment
‍By subscribing, you acknowledge and agree that: (a) the material terms of your subscription, including its automatic-renewal nature, billing frequency, and price, were disclosed to you clearly and conspicuously before you provided payment information; (b) you have provided your express informed consent to the recurring charges; and (c) you have been informed of how to cancel. The cancellation policy is presented to you each time you sign in to the web app.

‍Entire Agreement
‍These Terms constitute the entire agreement between us regarding our Software, and supersede and replace any prior agreements we might have had between us regarding the Software.
